Terms of Service

These Terms of Service ("Terms") govern your use of the Ready Morning platform, including our website, mobile application, and API (collectively, the "Service"), operated by XYZZ LLC ("we," "us," or "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years old to use the Service. By using the Service, you represent that you meet this age requirement. If you are under 18, you represent that you have your parent or guardian's permission to use the Service.

2. Accounts

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You agree to:

• Provide accurate and complete registration information
• Keep your password and API keys confidential
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms.

3. The Service

For Listeners

Ready Morning allows you to subscribe to audio briefing channels created by publishers. You can listen to briefings, manage your subscriptions, and set a preferred schedule for receiving notifications. Your access to specific channels may depend on invite codes or other access controls set by the publisher.

For Publishers

Ready Morning provides tools to create and manage audio briefing channels, publish content, manage your organization and team members, distribute invite codes, access analytics, and integrate via our API. A paid subscription is required to use publisher features.

4. Content

Your Content

You retain ownership of any content you submit to the Service, including briefing text, audio, and images ("Your Content"). By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, transmit, and display Your Content solely as necessary to operate and provide the Service.

For publishers: when you submit briefing text, we transmit that text to our text-to-speech provider (OpenAI) to generate audio. The generated audio is stored on our servers and delivered to your subscribers. You are responsible for ensuring you have the right to publish all content you submit.

Prohibited Content

You agree not to submit content that:

• Infringes any third party's intellectual property rights
• Is unlawful, defamatory, harassing, or threatening
• Contains malware, viruses, or malicious code
• Impersonates another person or entity, or misrepresents your affiliation
• Violates any applicable law or regulation

We reserve the right to remove content that violates these Terms without notice.

5. Subscriptions and Billing

Publisher features require a paid subscription. By subscribing, you agree to pay the applicable fees as displayed at the time of purchase.

• Subscriptions are billed on a recurring basis (monthly or annually, as selected) through Stripe.
• You authorize us to charge your payment method on file for each billing period.
• You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period — no partial refunds are issued for unused time.
• We may change pricing with at least 30 days' notice. Continued use after a price change constitutes acceptance.
• If payment fails, your subscription may be downgraded or suspended until payment is resolved.

6. API Usage

Publishers may access the Service through our API using API keys. You agree to:

• Keep your API keys confidential and not share them publicly
• Not exceed any rate limits or usage quotas associated with your plan
• Not use the API to build a competing service or to scrape, resell, or redistribute content
• Not attempt to circumvent authentication, access controls, or security measures

We may revoke API keys that are misused or associated with accounts that violate these Terms.

7. Intellectual Property

The Service, including its design, software, branding, and documentation, is owned by XYZZ LLC and protected by intellectual property laws. Nothing in these Terms grants you any right to use the Ready Morning name, logo, or trademarks without our prior written consent.

8. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any applicable law
• Interfere with or disrupt the Service, servers, or networks connected to the Service
• Attempt to gain unauthorized access to any part of the Service or other users' accounts
• Use automated means (bots, scrapers) to access the Service except through our published API
• Reverse-engineer, decompile, or disassemble any part of the Service

9. Account Deletion

You may delete your account at any time from your account settings. Upon deletion:

• Your personal data, listening history, and subscriptions will be permanently deleted.
• If you are the sole owner of an organization, that organization and all its content will be deleted.
• If your organization has other members, you must transfer ownership before deleting your account.
• Active subscriptions should be canceled before account deletion. Deleting your account does not automatically cancel your Stripe subscription — please cancel your subscription first.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected. We are not responsible for the accuracy, reliability, or quality of any content published by third-party publishers on the platform.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, XYZZ LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless XYZZ LLC, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your content, or your violation of these Terms.

13. Governing Law

These Terms are governed by the laws of the State of Kansas, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Kansas.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting updated Terms on the Service with a new "Last updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

For material changes that affect your rights (such as pricing changes or new restrictions), we will provide at least 30 days' notice via email or a prominent notice on the Service.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and XYZZ LLC regarding the Service.
